Terms of Service

These Terms of Service ("Terms") govern your use of the Fundry AI platform operated by Fundry AI, Inc. ("Fundry", "we", "us").

1. Service Description

Fundry AI provides AI-powered operational tools for alternative asset managers, including:

  • DDQ response generation
  • LP email classification and draft responses
  • Tax document review and variance analysis
  • Management company FP&A dashboards

Fundry AI is a software tool. We are not a registered investment adviser, broker-dealer, compliance consultant, or fiduciary.

2. Account Terms

  • You must provide accurate registration information
  • You are responsible for maintaining account security
  • Each user account is for a single individual
  • You must notify us immediately of unauthorized access
  • You must be 18 or older to use the service

3. Subscription and Billing

Plans

Subscription tiers (Free, Starter, Professional, Scale, Fractional CFO) are described at fundry.ai/pricing.

Payment

  • Paid plans are billed monthly or annually via Stripe
  • Annual plans receive a 20% discount
  • All prices are in USD

Cancellation

  • You may cancel at any time from Settings > Billing
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial billing periods
  • Data export is available before cancellation

Free Tier

  • Limited to DDQ processing (50 questions/month)
  • No SLA or support guarantees
  • May be modified or discontinued with 30 days' notice

4. Acceptable Use

You agree not to:

  • Use the service for illegal purposes
  • Upload documents you do not have rights to process
  • Attempt to access other customers' data
  • Reverse-engineer, decompile, or extract the service's source code
  • Resell or redistribute the service without authorization
  • Use automated tools to scrape or overwhelm the service

5. AI-Generated Content

  • All AI-generated outputs (DDQ responses, email drafts, tax analysis) are drafts requiring human review
  • You are responsible for reviewing and approving all outputs before external use
  • Fundry does not guarantee the accuracy, completeness, or compliance of AI-generated content
  • AI outputs should not be relied upon as legal, tax, or investment advice

6. Data Ownership

  • You retain ownership of all data you upload to or create within the service
  • We do not claim ownership of your documents, communications, or financial data
  • We do not use your data to train AI models
  • See our Privacy Policy for data handling details

7. Intellectual Property

  • The Fundry AI platform, including its design, code, and documentation, is owned by Fundry AI, Inc.
  • Your subscription grants a non-exclusive, non-transferable license to use the service
  • Feedback you provide may be used to improve the service without obligation

8. Service Level

Paid Plans (Starter and above)

  • Target uptime: 99.9% (excluding scheduled maintenance)
  • Scheduled maintenance windows: Sundays 2-6 AM ET with 48-hour notice
  • Support response: 24 hours (email), 4 hours (critical issues for Scale tier)

Free Tier

  • No uptime guarantee
  • Best-effort support

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Fundry's total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • Fundry is not liable for indirect, incidental, special, consequential, or punitive damages
  • Fundry is not liable for losses resulting from unauthorized access to your account
  • Fundry is not liable for the accuracy of AI-generated content that you approve and distribute

10. Indemnification

You agree to indemnify Fundry against claims arising from:

  • Your use of the service
  • Your violation of these Terms
  • Content you upload or distribute through the service
  • Your violation of applicable laws or regulations

11. Termination

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Engage in activity that threatens service security or integrity

Upon termination:

  • You may export your data within 30 days
  • We will delete your data per our Data Retention policy
  • Accrued obligations survive termination

12. Modifications

We may modify these Terms with 30 days' notice via email. Continued use after the effective date constitutes acceptance. Material changes will be clearly identified.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Dispute Resolution

Disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except for claims eligible for small claims court.
